Paramount has reached a settlement with dozens of U.S. states regarding a legal challenge to its proposed $110 billion merger with Warner Bros. Discovery. This agreement removes a significant regulatory hurdle for the deal, which is led by Paramount chief executive David Ellison.
California Attorney General Rob Bonta confirmed that state officials agreed to the terms after securing specific commitments intended to protect competition within the film, television, and broadcasting sectors. Despite the resolution, Bonta noted that the settlement does not constitute an endorsement of the merger, stating that he does not believe the two companies should combine.
Under the terms of the agreement, Paramount is required to release at least 30 films annually. Bonta stated that the deal will provide a substantial boost to domestic production, estimating an increase in spending on film and television output ranging from $300 million to $1.5 billion.
David Ellison described the resolution as a positive outcome for consumers, workers, and the creative community. He indicated that with the concerns of state attorneys general and the Writers Guild of America now addressed, the company has achieved the necessary clearance to proceed with the merger.
The settlement arrives as the companies work toward a deadline to finalize the transaction. If the merger closes by September 30, the Ellison-led Paramount will avoid a daily fee of $7 million. The agreement marks a major step forward in the consolidation of the two media entities.
